All right, title, and interest in and to any and all Intellectual Property arising out of or in connection with the IDSPS program (“Program IP”) shall vest jointly and exclusively in IDSPS and the participating Institutes, unless otherwise expressly agreed in writing. Program IP shall include:
All pre-existing intellectual property, including but not limited to materials, tools, methodologies, processes, data, and know-how, contributed by IDSPS and/or the Institutes for the purposes of the IDSPS Division;
All intellectual property conceived, developed, reduced to practice, or otherwise created under the IDSPS program by IDSPS, the IDSPS Division, and/or the participating Institutes; and
Any and all modifications, enhancements, derivative works, or improvements to the Background IP or Foreground IP developed under or in connection with the IDSPS program.
IDSPS shall serve as the sole nodal agency for the management, protection, commercialization, and licensing of all Program IP on behalf of itself and the participating Institutes. IDSPS shall have the authority to determine licensing strategies, terms, and conditions, including execution of licensing agreements.
Subject to applicable terms and conditions as may be prescribed by IDSPS from time to time, Program IP shall be made available to member companies of the IDSPS program on a non-exclusive, non-transferable, and limited-use license basis and royalty free for the subscribed or selected SRA.
IDSPS reserves the unrestricted right to license Program IP to non-member entities, on such terms and conditions including royalty fees as it deems appropriate.
All revenues, royalties, fees, or other consideration arising from the licensing or commercialization of Program IP shall accrue to IDSPS. Such revenues shall be utilized, at the discretion of IDSPS, for the operation, expansion, and long-term sustainability of the IDSPS program.
Full member companies of the IDSPS program shall be granted a non-exclusive, non-transferable, royalty-free license to use the Program IP for the selected SRA, strictly for the duration of their active membership and subject to compliance with applicable terms and conditions.
In the event that a member company ceases to be part of the IDSPS program, such entity shall no longer be entitled to royalty-free usage of the Program IP. However, companies that have participated in and contributed to specific Sponsored Research Activities (SRAs) under the program shall have the option to obtain a continued license to the relevant IP arising from such SRAs on preferential terms, including discounted royalty rates. The applicable royalty structure and licensing terms shall be determined by IDSPS.
